Welcome to Sam’s Terms and Conditions. This document outlines the terms governing your use of our services and website. By engaging with Sam’s services, you agree to comply with and be bound by these terms. These Terms of Service reflect the manner in which Sam operates, the applicable laws, and our commitment to transparency. Please read these terms carefully, as they set out the obligations and rights for both Sam and its clients.
1. Age Restrictions: Sam's services are strictly intended for individuals 18 years of age or older. We do not knowingly collect or process personal information from individuals under the age of 18. If you are under 18, you are prohibited from submitting personal information or accessing our services. Furthermore, Sam does not engage or employ any professionals under the age of 18. Any violation of these terms will result in the immediate termination of service access.
Recruitment, Vetting, and Management: Sam maintains an exclusive pool of pre-vetted independent contractor professionals, each selected through a rigorous internal recruitment and vetting process. This process is conducted solely by Sam to develop and maintain its contractor network and is not performed on behalf of individual client specifications. Sam functions strictly as an intermediary, facilitating the connection between clients and contractors, and expressly disclaims any liability for the actions or omissions of contractors once engaged by clients. Clients acknowledge that engagement with Sam’s contractors is at their own discretion and risk.
Client Agreements: The terms outlined herein, along with any referenced policies, constitute binding agreements between Sam and its clients. Clients agree to adhere to these terms in full, and any breach may result in the termination of services.
Payment Structure: Payments are processed through Stripe, and service initiation is contingent upon receipt of payment. Payments must be made in accordance with the invoicing terms specified for contracts of 3-6 months (monthly payments) or contracts exceeding 6 months (quarterly payments). Initial payments are required upfront. Payments overdue by more than 14 days will result in suspension of services and may trigger legal proceedings. Failure to remit payment without authorized termination constitutes a material breach of this Agreement.
Contract Duration: Contract engagements are established for a minimum of 3 months and a maximum of 1 year, with provisions for renewal subject to mutual consent and revised terms where applicable.
Termination Policy: Contracts may only be terminated under specific conditions outlined in this Agreement. Sam will make reasonable efforts to replace contractors within 5 business days for justifiable issues.
Liability Limitations: To the fullest extent permissible by law, Sam disclaims all liability once contractors are engaged by clients. Liability shall be limited to instances where Sam fails to provide a contractor as stipulated in the agreement, and such liability shall not exceed the fees paid by the client.
NDAs: Contractors are mandated to sign non-disclosure agreements (NDAs) to safeguard client information. Clients may require additional NDAs for specific projects, which contractors agree to sign without objection.
Litigation: Sam's role does not extend to litigation support, except for enforcing contractual obligations related to payment or service compliance. Any legal action must be pursued in accordance with the governing law stipulated herein.
Contractor Standards: All contractors within Sam’s network are required to adhere to industry standards and complete comprehensive training programs.
Ownership of Work: Clients maintain full ownership rights to all deliverables produced by contractors during their engagement, provided that payment terms are met as agreed.
Privacy Compliance: Sam upholds strict privacy practices, compliant with GDPR and other applicable data protection regulations. Clients acknowledge that internet transmissions may not be entirely secure and accept that any data transmission to Sam is at their own risk.
Modifications to Terms: Sam reserves the right to amend these terms at any time, with significant changes communicated via email and minor changes posted on its website. Continued use of services after any amendment constitutes acceptance of the revised terms.
Non-solicitation Clause: Clients agree not to solicit, recruit, or hire any contractor for direct employment or independent contracting without paying a $5,000 placement fee to Sam. Contractors are bound by a one-year non-compete clause preventing them from engaging directly with clients outside of Sam’s platform.
Scope of Services: Sam’s liability is confined strictly to the services outlined in the client agreement. Sam is not responsible for any services or obligations outside the scope of this contract.
Insurance Coverage: Sam does not provide insurance coverage for contractors. Clients who elect to hire contractors as full-time employees accept all associated liabilities and obligations.
Certification Requirements: Contractors are required to hold relevant certifications to qualify for client engagements, ensuring they meet the standards necessary for effective service delivery.

Administrative Management: Essential roles focused on office administrative tasks. Roles include Receptionists, Greeters, and Administrative Assistants. These professionals handle core administrative tasks, ensuring the office runs efficiently and teams have the support they need.
Executive Management: Our Executive Assistants are skilled in providing senior-level support, offering comprehensive administrative assistance to executives. This support allows leaders to focus more on high-level strategic goals and less on managing day-to-day operations.
Office, Facilities & Project Management: Key roles for maintaining an organized workspace and achieving project goals. Roles include Office Managers, Facilities Managers, and Project Managers. These professionals handle vendor coordination, supply oversight, project scheduling, and timeline management. They foster cross-functional collaboration and prepare for daily operations and meetings, ensuring a seamless and fully supported environment for smooth operations and successful project delivery.
IT & Technical Management: Crucial roles for IT support and software development to ensure seamless operations. Roles include Software Engineers and IT Specialists. These professionals develop and maintain software solutions, manage networks, address technical challenges, and ensure smooth workflows. They bridge the gap between technical functions and operational needs, ensuring systems run efficiently and minimizing downtime.
Structured Payment Tiers: Sam provides transparent comparisons of industry salary data and profit margins for services rendered, ensuring clients understand cost structures.
Binding Agreement: The parties agree that all electronic indications of assent are binding under the Electronic Signatures in Global and National Commerce Act (E-Sign Act).
Severability: If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions shall continue to be in full effect to the extent permitted by law.
Entire Agreement: These Terms, in conjunction with any incorporated policies, constitute the complete and exclusive agreement between the parties, superseding any prior communications or understandings.
Governing Law: These Terms shall be governed by and interpreted in accordance with the relevant laws, with disputes resolved within the designated jurisdiction.
