Terms & Conditions
These Terms and Conditions (“Terms”) govern the use of the services provided by Sam Mgmt, Inc. (“Sam”) and constitute a legally binding agreement between Sam and any party engaging with its services (“User,” “You,” or “Entity”). By accessing or utilizing Sam’s services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree with any part of these Terms, you must refrain from using Sam’s services.
The term “Platform” refers to the proprietary business framework, processes, and services operated by Sam Mgmt, Inc. to recruit, vet, and manage Independent Contractors, and to facilitate the connection between these contractors and entities seeking their services.
1. Age Restrictions
Sam’s services are strictly available to individuals 18 years of age or older. Sam does not knowingly collect or process personal information from individuals under 18. If you are under 18, you are prohibited from accessing or using Sam’s services. Furthermore, Sam does not engage, contract with, or employ any professionals under the age of 18. Any violation of this provision will result in immediate termination of service access.
2. Recruitment, Vetting, and Management
Sam maintains a proprietary network of Independent Contractors who are pre-vetted through an internal recruitment and assessment process. This vetting process is conducted solely at Sam’s discretion and does not constitute an endorsement or guarantee of any Independent Contractor’s qualifications, performance, or suitability for specific engagements. Sam functions exclusively as an intermediary facilitating connections between Independent Contractors and entities utilizing Sam’s platform. Sam expressly disclaims any liability for the actions, omissions, or performance of Independent Contractors once engaged. Any entity engaging an Independent Contractor through Sam does so at its own discretion and risk.
3. Engagement Terms
The Terms set forth herein, along with any referenced policies, constitute a legally binding agreement between Sam and any party utilizing its services. Any breach of these Terms may result in the immediate termination of services, suspension of access, or legal recourse as deemed appropriate by Sam.
4. Payment Structure
All payments for services facilitated through Sam are processed through Stripe. Engagements require full compliance with Sam’s invoicing terms, which are as follows:
Contracts of 3 to 6 months: Monthly payments are due in accordance with the agreed schedule.
Contracts exceeding 6 months: Payments are invoiced quarterly.
Initial payment requirement: Engagements shall not commence until the first payment is received in full.
Payments not received within 5 calendar days of the due date shall result in immediate service suspension and are subject to a late payment fee of 5% of the outstanding balance. Sam reserves the right to pursue legal action for unpaid fees. Failure to remit payment without following proper contract termination procedures shall constitute a material breach of this agreement.
5. Contract Duration
Contract engagements facilitated through Sam are established for a minimum term of 3 months and a maximum term of 1 year. Agreements are subject to renewal or auto-renewal in accordance with the notice terms specified in the respective service contract. If no formal termination notice is provided within the required timeframe, the contract shall automatically renew under the same terms unless revised terms are expressly agreed upon by both parties.
6. Termination Policy
Contracts facilitated through Sam may only be terminated under the conditions outlined in the governing agreement. If an issue arises with an Independent Contractor, Sam will make reasonable efforts to replace the contractor within 5 business days, provided that the termination request falls within the contractual terms. Unauthorized contract terminations or non-compliance with notice provisions shall be considered a material breach.
7. Liability Limitations
To the fullest extent permitted by law, Sam disclaims all liability once an Independent Contractor is engaged by an entity through its platform. Sam shall not be responsible for any damages, losses, claims, or liabilities arising from the work, conduct, or contractual obligations of Independent Contractors. Liability, if any, shall be strictly limited to instances where Sam fails to provide a contractor as agreed, and in such cases, liability shall not exceed the fees paid for service facilitation.
8. Independent Contractor Status and Insurance Disclaimer
Independent Contractor Acknowledgment
All individuals engaged through Sam are classified as Independent Contractors under applicable laws and regulations. Independent Contractors are not employees, agents, or representatives of Sam, and Sam does not exercise control over the manner, means, or methods by which they perform their work. Independent Contractors are solely responsible for compliance with all tax obligations, legal requirements, and professional standards applicable to their services.Workers’ Compensation Exemption
Sam does not provide, and is not required to provide, Workers’ Compensation insurance for Independent Contractors. By engaging with Sam’s platform, all parties acknowledge and agree that neither Sam nor any entity utilizing Sam’s services shall be liable for providing Workers’ Compensation benefits, coverage, or any related protections to Independent Contractors. Independent Contractors assume all responsibility for securing any insurance they deem necessary for their work.General Liability Insurance Disclaimer
Sam does not provide, nor does it assume any responsibility for providing, general liability insurance, professional liability insurance, or any other form of coverage for Independent Contractors. The roles provided by Sam, including but not limited to Receptionists, Administrative Assistants, Executive Assistants, Office Managers, Project Managers, Facilities Managers, IT Specialists, Software Engineers, and other administrative or technical support roles, do not generally require workers' compensation or general liability insurance due to the nature of their work, unless specifically requested by the engaging party. Neither Sam nor any entity engaging an Independent Contractor through Sam is required, obligated, or otherwise responsible for procuring, maintaining, or facilitating insurance coverage on behalf of any Independent Contractor. In the event of a request the Independent Contractor is solely responsible for assessing, obtaining, and maintaining any insurance coverage necessary for their business operations and assumes all associated risks and liabilities arising from the absence of such coverage.9. Non-Disclosure Agreements (NDAs)
All Independent Contractors within Sam’s network are required to execute non-disclosure agreements (NDAs) as a condition of engagement. Entities utilizing Sam’s services may impose additional NDA requirements as needed, which Independent Contractors agree to sign upon request.
10. Litigation
Sam does not provide litigation support or dispute resolution services except in cases involving contract enforcement, payment recovery, or other service-related obligations. Any legal action related to contract disputes must be pursued in accordance with the governing jurisdiction and laws outlined in this agreement.
11. Contractor Standards and Training
All Independent Contractors within Sam’s network must adhere to industry standards and complete any required training programs to remain eligible for engagements.
12. Ownership of Work
Entities engaging Independent Contractors through Sam retain full ownership rights to all deliverables produced during the engagement, provided that all payment terms are met in full.
13. Privacy Compliance
Sam adheres to strict privacy and data protection policies, ensuring compliance with GDPR and other applicable data protection regulations. Users acknowledge that internet transmissions are not always secure, and any data transmitted to Sam is done at the sender’s own risk.
14. Modifications to Terms
Sam reserves the right to amend these Terms at any time. Significant modifications shall be communicated via email, while minor updates shall be posted on Sam’s website. Continued use of Sam’s services following any modifications shall constitute acceptance of the revised Terms.
15. Non-Solicitation Clause
Entities utilizing Sam’s services agree not to solicit, recruit, or hire any Independent Contractor for direct employment or independent contracting outside of Sam’s platform without paying a $5,000 placement fee to Sam. Independent Contractors are subject to a one-year non-compete clause preventing them from engaging directly with any entity introduced through Sam.
16. Scope of Services
Sam’s liability is strictly limited to the services outlined in the governing agreement. Sam shall not be responsible for any obligations, liabilities, or services beyond the explicitly defined scope.
17. Governing Law
These Terms shall be governed by and interpreted in accordance with applicable laws, and any disputes shall be resolved within the designated jurisdiction specified by Sam.
